Terms of Service
These Terms of Service ("Terms") govern your access to and use of the website and services provided by 15748666 Canada Inc., operating as Digital Meteors ("Digital Meteors," "we," "us," or "our"). By using our website or engaging our services, you agree to be bound by these Terms.
If you do not agree with these Terms, do not use our website or services. If you are accepting these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
1. Services Description
Digital Meteors provides the following services to business clients:
- AI Voice Agent. An AI-powered voice receptionist that answers inbound calls on behalf of a business client, qualifies callers, captures call details, and sends SMS and optional email notifications to authorized recipients designated by the business client.
- Digital marketing services. Search engine optimization, paid advertising (Google Ads, Meta Ads, and other platforms), conversion rate optimization, and related digital marketing services.
- Web and software development. Website design, development, app development, and custom software development.
The specific scope, deliverables, and pricing of services engaged are documented in a written service agreement, statement of work, or order form between Digital Meteors and each business client.
2. Engagement and Onboarding
Services are provided pursuant to a written service agreement between Digital Meteors and the business client. During onboarding:
- The business client provides business details, contact information, and configuration data necessary to deliver the engaged services.
- For the AI Voice Agent service, the business client identifies authorized recipients of SMS notifications and provides their mobile phone numbers.
- The business client confirms that all individuals whose mobile numbers are provided have consented to receive SMS notifications from Digital Meteors as part of the service.
- Digital Meteors configures the service and conducts test runs before going live.
3. SMS Service Terms
The following terms apply to all SMS messaging sent through the AI Voice Agent service.
3.1 Recipients and consent
SMS messages are sent only to mobile numbers that have been explicitly authorized through Digital Meteors' onboarding process, which includes: (a) a signed service agreement with the business client expressly authorizing SMS notifications; (b) direct provision of the mobile number by the business owner or authorized staff member during onboarding; and (c) provisioning of the number within Digital Meteors' internal admin dashboard.
SMS messages are sent exclusively to business owners or authorized staff at our business clients. We do not send SMS to end-user callers, to the general public, or to any number that has not been authorized through the onboarding process described above.
3.2 Content
SMS messages contain summaries of inbound calls answered by our AI Voice Agent on behalf of the recipient's business. Each message includes: caller name, callback number, reason for calling, urgency level, and a brief summary. Every message ends with opt-out instructions.
3.3 Frequency
Message frequency varies based on the recipient's business call volume. Typical volume is between 5 and 50 messages per day across all business clients combined. Individual recipients receive one SMS per inbound call answered on their behalf.
3.4 Opt-out
Recipients may opt out of SMS notifications at any time by replying STOP to any message. Opt-out is processed automatically and immediately terminates SMS notifications to that number. Recipients may also use the keywords CANCEL, END, QUIT, UNSUBSCRIBE, REVOKE, or STOPALL. Opt-out from SMS does not affect the underlying voice agent service or any other services provided to the business client.
3.5 Help
Recipients can reply HELP or INFO to receive support information.
3.6 Rates and delivery
Message and data rates may apply per the recipient's mobile carrier plan. Digital Meteors is not responsible for delays in delivery or messages that are not delivered due to factors outside our reasonable control, including but not limited to mobile carrier issues, network outages, or recipient device limitations.
3.7 No marketing use
Digital Meteors does not sell or share consumer data with third parties for marketing purposes. Phone numbers and personal information collected during onboarding are used solely to deliver the SMS notification service.
4. Acceptable Use
When using our services, you agree not to:
- Use the services for any unlawful purpose or in violation of any applicable laws or regulations;
- Use the services to send unsolicited communications, spam, or any content that violates applicable messaging laws including the Canadian Anti-Spam Legislation (CASL) or the United States CAN-SPAM Act;
- Provide false, misleading, or inaccurate information during onboarding, including unauthorized mobile numbers;
- Attempt to reverse engineer, decompile, or otherwise access the source code of our AI Voice Agent or other proprietary technology;
- Use the services to harass, threaten, or harm any individual or entity;
- Resell, sublicense, or transfer access to the services without our prior written consent;
- Interfere with or disrupt the operation of the services or attempt to gain unauthorized access to any systems.
We reserve the right to suspend or terminate services for violations of this Section 4.
5. Fees and Payment
Fees, payment terms, and billing cycles are specified in the service agreement or order form for each engagement. Unless otherwise specified:
- Recurring fees are billed monthly in advance.
- One-time fees are billed at engagement.
- Payments are due upon receipt of invoice unless otherwise agreed.
- Late payments may be subject to interest and may result in suspension of services.
- All fees are exclusive of applicable taxes, which are the responsibility of the business client.
6. Intellectual Property
The AI Voice Agent platform, our website, our underlying technology, and all related intellectual property are owned exclusively by Digital Meteors. Business clients receive a limited, non-exclusive, non-transferable license to use the services for the duration of their engagement.
Business clients retain ownership of their own business data, customer data, and any content they provide. Digital Meteors processes such data only to deliver the engaged services.
Any feedback, suggestions, or improvements provided by a business client may be used by Digital Meteors without restriction to improve the services for all clients.
7. Confidentiality
Both parties agree to maintain the confidentiality of non-public information shared during the engagement, including business strategies, financial information, customer information, and proprietary methodologies. Confidentiality obligations survive termination of the engagement.
8. Privacy
Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated by reference into these Terms.
9. Term and Termination
Services are provided on a month-to-month basis unless otherwise specified in the service agreement. Either party may terminate the engagement with 30 days' written notice.
Digital Meteors may terminate services immediately for: non-payment, violation of these Terms, violation of applicable laws, or any other material breach of the service agreement.
Upon termination: outstanding fees become immediately payable, access to the services ends, and Digital Meteors will provide a reasonable opportunity to retrieve client data subject to the terms of the service agreement.
10. Warranties and Disclaimers
Digital Meteors warrants that the services will be performed in a professional and workmanlike manner.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR A WRITTEN SERVICE AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
WE DO NOT GUARANTEE SPECIFIC OUTCOMES FROM MARKETING SERVICES, INCLUDING SEARCH RANKINGS, AD PERFORMANCE, OR LEAD VOLUMES. WE DO NOT GUARANTEE 100 PERCENT UPTIME OR DELIVERY OF EVERY SMS MESSAGE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGITAL METEORS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, REGARDLESS OF THE FORM OF ACTION, IS LIMITED TO THE AMOUNT PAID BY THE BUSINESS CLIENT TO DIGITAL METEORS IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT WILL DIGITAL METEORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12. Indemnification
Business clients agree to indemnify and hold harmless Digital Meteors, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of: (a) the business client's breach of these Terms; (b) the business client's violation of any law or third-party rights; or (c) the business client's provision of unauthorized mobile numbers or content used in the SMS service.
13. Governing Law and Disputes
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts of Ontario for any disputes arising out of or relating to these Terms.
Before initiating legal action, the parties agree to attempt in good faith to resolve any dispute through direct negotiation for a period of at least 30 days.
14. General Provisions
Entire agreement. These Terms, together with any signed service agreement, constitute the entire agreement between the parties.
Amendments. We may update these Terms from time to time. Material changes will be reflected in the "Last updated" date at the top of this page. Continued use of the services after changes constitutes acceptance of the updated Terms.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
Waiver. No waiver of any provision of these Terms is effective unless made in writing.
Assignment. Business clients may not assign these Terms without our prior written consent. Digital Meteors may assign these Terms in connection with a merger, acquisition, or sale of business assets.
